Introduction

StudyAsan is a flagship educational and technology brand owned, operated, and managed by KD Enterprises, in collaboration with its technical and digital operations partner Merox Alpha (collectively referred to as the “Company”, “StudyAsan”, “We”, “Us”, or “Our”). The Company expressly reserves the statutory right to transition, assign, or restructure this brand and its underlying assets to an affiliated corporate or successor legal entity in alignment with operational growth.

StudyAsan provides an online educational academy, proprietary content, and an Academic Classroom Management System (“ACMS”) designed to deliver interactive learning, live virtual classrooms, online test series, quizzes, assignments, and academic progress tracking for students, teachers, parents, and educational institutions.

These Terms and Conditions (“Terms”, “Terms of Service”, or “Agreement”) govern your access to and use of:

  2. The ACMS web application: [https://acms.studyasan.com] (https://acms.studyasan.com)

  3. The official mobile and tablet applications (including the application listed under Merox Alpha on Google Play Store, Apple App Store, and other distributed channels)

  4. All affiliated digital platforms, software, interfaces, content, and services operated by the Company (collectively, the “Platform”).

 

1. Legal Framework and Acceptance

  1. Contractual Agreement: These Terms constitute a legally binding contract between you (the “User”, “You”, whether accessing the Platform as a Student, Parent, Guardian, or Teacher) and the Company.

  2. Electronic Record: This document is an electronic record generated by a computer system under the provisions of the Information Technology Act, 2000, and rules framed thereunder, as amended. This document requires neither physical nor digital signatures to establish legal validity.

  3. Acceptance of Terms: By visiting, browsing, registering for, downloading, or accessing the Platform, or subscribing to any courses or services, you affirm that you have read, understood, and agreed to be legally bound by these Terms and our associated Privacy Policy.

  4. Modifications and Updates: The Company reserves the exclusive right to modify, amend, replace, or update these Terms at any time without prior individual notice. Any revised Terms will be posted on the Platform with an updated effective date.

 

  1. Continued Use: Your continued access or use of the Platform following any modifications indicates your explicit acceptance of the updated Terms.

   

2. Definitions

  1. “ACMS” means the Academic Classroom Management System web portal and underlying software engine accessible at [https://acms.studyasan.com] (https://acms.studyasan.com).

  2. “Collective Content” encompasses StudyAsan Content and User/Member Content collectively.

  3. “Course” means any educational module, live lecture batch, pre-recorded course, test series, workshop, or curricular program delivered on or through the Platform.

  4. “Course Fees” means the total fees payable by a student or parent for enrolment in a Course, inclusive of applicable taxes.

  5. “Parent” means a biological parent or lawful legal guardian of a minor Student who registers, supervises, and assumes liability for such Student.

  6. “Student” means any individual enrolled in and attending Courses or utilizing ACMS assessment tools.

  7. “StudyAsan Content” means all text, graphics, videos, curriculums, lesson plans, teaching aids, algorithms, software, audio recordings, problem sets, and trade secrets created, owned, or licensed by the Company.

  8. “Teacher” / “Trainer” means an educator, faculty member, or instructor contracted or engaged by StudyAsan to conduct instructional sessions.

  9. “User Content” means any data, assignments, doubts, text, media, feedback, or materials posted, uploaded, or transmitted by a User on the Platform.

 

3. User Eligibility and Registration

  1. Age of Majority and Minor Access: Access by any individual under the age of 18 (“Minor” or “Student”) must be authorized and registered exclusively by their Parent or lawful guardian. Minors may access live classes only under the ongoing supervision of a Parent.

  2. Parental Liability: The Parent or legal guardian assumes full, unconditional civil and financial liability for all actions, platform interactions, payments, and engagements made by the Student under the registered account.

  3. Account Integrity: You agree to provide true, current, accurate, and complete information during registration, including full legal name, active telephone number, email address, student date of birth, passport-style photograph, and government-authorized identification proofs upon request.

  4. Single Unique Account: A User may create only one (1) unique profile linked to a single phone number and verified email address. Dual registrations, dummy profiles, or account hoarding are strictly prohibited and subject to immediate deactivation.

  5. Third-Party Login (SSO): If you access the Platform using third-party social networking accounts (e.g., Google Sign-In), you authorize the Company to access, process, and retain authentication credentials and profile data per our Privacy Policy. The Company disclaims liability for any service interruptions resulting from third-party authentication failures.

4. Account Security, Devices, and Access Controls

​

  1. Exclusive Personal Use: Your User Account is strictly personal, individual, and non-transferable.

  2. Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your login credentials and for all operations executed under your account.

  3. Simultaneous Device Limits: Account access is restricted to a maximum of three (03) authorized devices simultaneously. Concurrent access exceeding this threshold will trigger automated security lockdowns, and the Company reserves the right to suspend or permanently block access for unauthorized sharing.

  4. Breach Notification: You must notify StudyAsan immediately at info@studyasan.com upon detecting or suspecting any unauthorized account access, credential exposure, or security vulnerability.

 

5. Communications, Marketing, and TRAI / DND Waiver

​

  1. Statutory TCCPR Waiver: By submitting your contact details, you expressly grant StudyAsan, KD Enterprises, and Merox Alpha authorization to communicate with you via telephone calls, SMS messages, automated alerts, push notifications, emails, and messaging applications (including WhatsApp).

  2. Superseding DND / NDNC: You confirm that this consent explicitly overrides any current or future registration on the National Do Not Call (NDNC) registry or the National Customer Preference Register (NCPR) maintained under the Telecom Commercial Communications Customer Preference Regulations (TCCPR) issued by the Telecom Regulatory Authority of India (TRAI).

  3. Commercial and Transactional Communications: Communications authorized hereunder include transactional notices, batch scheduling alerts, fee reminders, academic updates, security authentications, and promotional announcements regarding educational programs or technological tools.

 

6. Publicity Consent and Commercial Exploitation of Results

​

  1. Consent for Promotional Attribution: The Student and Parent hereby grant StudyAsan an irrevocable, perpetual, royalty-free, worldwide, transferable license to record, process, display, publish, and distribute the Student's name, photograph, audio/video testimonials, competitive ranks, academic scores, and institutional admissions for promotional, advertising, and marketing purposes.

  2. Marketing Formats: This material may be deployed across any mode, medium, format, or channel now known or developed in the future, including the official website, social media handles, mobile applications, digital advertisements, video platforms, and print media, without requiring further approval, prior notice, or financial compensation.

 

7. Child Safety and Student Protection Policy

​

StudyAsan maintains an absolute zero-tolerance policy toward child abuse, exploitation, negligence, discrimination, and inappropriate behaviour across all digital learning environments.

  1. Expected Educator Conduct:

    • Maintain absolute professionalism, empathy, and respect toward every Student, regardless of gender, religion, caste, regional background, or neurodivergence.

    • Use strictly age-appropriate, encouraging, and non-threatening language across all oral, written, and multimedia communications.

    • Restrict all instructional discussions to the prescribed curriculum and educational guidance.

  2. Prohibited Conduct:

    • No educator, employee, or stakeholder shall engage in, solicit, or facilitate emotional, physical, psychological, verbal, or sexual abuse or exploitation of any child.

    • No educator or student shall display, discuss, share, or direct access to sexually suggestive materials, pornography, intoxicating substances (alcohol, drugs, tobacco), self-harm content, violence, or unlawful materials.

    • Staff, contractors, and educators are strictly barred from entering into independent personal, financial, or commercial arrangements with Students or Parents outside the official scope of StudyAsan.

  3. Reporting and Escalation:

    • Any suspected misconduct, child abuse, harassment, or boundary breach must be immediately escalated to the Management and Designated Child Safety Officer via info@studyasan.com.

    • The Company will cooperate fully with external law enforcement authorities, Child Welfare Committees, and judicial bodies in investigating incidents under the Protection of Children from Sexual Offences (POCSO) Act, 2012, the Information Technology Act, 2000, and relevant penal statutes. While the Company provides full investigative assistance, it disclaims personal vicarious liability for the independent illegal acts of third parties or individual educators that occur outside authorized duties.

 

8. Professional Decorum and Non-Circumvention

​

  1. Isolation of Personal Contact Data: Teachers, Students, and Parents are strictly prohibited from soliciting, exchanging, or disclosing personal contact information, including private phone numbers, personal email addresses, home addresses, or social media handles (e.g., Instagram, Facebook, LinkedIn, Discord, Telegram).

  2. Official Channels Only: All pedagogical inquiries, scheduling discussions, assignment transmissions, and academic communications must take place exclusively through the ACMS platform or authorized company support channels.

  3. Non-Circumvention (Anti-Poaching): Users (Students, Parents, and Educators) agree not to solicit, bypass, accept, or engage in independent offline or online private tutoring, educational consulting, or direct monetary transactions outside the Platform. Any attempt to circumvent StudyAsan’s commercial ecosystem will result in immediate termination of the accounts of all involved parties, forfeiture of fees, and legal action for commercial damages.

  4. Parental Non-Interference in Live Sessions: Parents and guardians must not enter the camera frame, interrupt ongoing lectures, or verbally engage educators during live virtual sessions. All parental queries must be routed through the assigned Academic Coordinator.

 

9. Course Enrolment, Batches, and Faculty Allocation

​

  1. Batch Allocation Window: The Company reserves up to fourteen (14) business days following successful fee clearance to assess, structure, and assign the Student to an appropriate instructional batch.

  2. Faculty Selection & Reassignment: Faculty selection is based primarily on subject matter expertise, communicative clarity, and pedagogical skill. The Company maintains complete editorial and operational discretion over teacher assignments and reserves the right to reassign trainers or adjust class schedules due to administrative necessities, illness, or operational upgrades.

  3. Attendance & Absence: Students are expected to maintain 100% attendance. The Company is under no obligation to conduct makeup sessions, extend batch timelines, or issue fee concessions for personal student absences.

  4. Compensatory Sessions: In the event of an unavoidable faculty absence or technical disruption originating from StudyAsan’s infrastructure, the Company will schedule compensatory sessions to ensure the curriculum timeline is satisfied.

  5. Transfer & Rescheduling Requests: Requests to adjust batch timings, change time zones, or transfer batches require prior administrative approval and are subject to seat availability and administrative processing fees.

  6. Classroom Recording for Quality Audits: By participating in live classrooms, Users explicitly consent to audio and video recording of all sessions by the Company for quality audits, instructor appraisals, platform security, and curriculum optimization.

 

10. Financial Terms, Taxes, and Refund Policy

​

  1. Authorized Payment Channels: Course Fees must be paid exclusively through integrated third-party payment gateways, net banking, unified payment interfaces (UPI), or verified institutional loan/EMI aggregators authorized on the Platform. The Company is not liable for transactional errors originating from independent third-party banks or payment networks.

  2. Taxation & Invoicing: Course Fees are subject to applicable indirect taxes, including Goods and Services Tax (GST), required by law. The Company will issue a system-generated electronic tax invoice upon payment confirmation.

  3. Strict No-Refund Policy: Course enrolments are non-refundable. Once access credentials, software allocations, or batch placements have been finalized, the Company will not process refunds, balance transfers, or cancellations under any circumstances, including personal scheduling conflicts, school exam overlaps, changes in personal finances, or subjective dissatisfaction with pacing.

  4. EMI & Loan Aggregation: If a Course is procured via third-party No-Cost EMI or financing arrangements, the User remains entirely liable to the financial provider for recurring instalments. StudyAsan holds no authority or responsibility over interest charges, default penalties, or credit bureau (CIBIL) reporting managed by the financial partner.

 

11. Intellectual Property Rights and Content Protection

​

  1. Exclusive Proprietary Ownership: The Platform, ACMS portal, curriculum frameworks, mental calculation techniques, abacus logic, problem libraries, interactive applications, video lectures, visual designs, graphic assets, software code, databases, documentation, and the trademark "StudyAsan-The Path to Success" (and associated logos) are the sole and exclusive intellectual property of the Company.

  2. Trade Secrets: Proprietary teaching algorithms, pedagogical structures, step-by-step mental math models, and curriculum designs constitute confidential trade secrets of the Company.

  3. Limited Educational License: Users receive a limited, revocable, non-exclusive, non-transferable, non-sublicensable personal license to view StudyAsan Content solely for private, non-commercial educational study while enrolled.

  4. Prohibition of Screen Captures & Distribution: Users are strictly barred from recording, downloading, ripping, screen casting, taking screenshots of, reproducing, publishing, or sharing any live sessions, proprietary course literature, or test materials. Unauthorized distribution, public display, or commercial reuse constitutes criminal copyright infringement and will be prosecuted under the Copyright Act, 1957, and the Information Technology Act, 2000.

  5. Feedback Assignment: Any ideas, suggestions, structural improvements, bug reports, or feature enhancements submitted by Users regarding the Platform become the perpetual, royalty-free, exclusive property of StudyAsan without any claim to attribution or compensation.

 

12. Technical Code of Conduct and Prohibited System Use

​

You expressly agree not to engage in any of the following activities:

  1. Automated Scraping and Mining: Using manual or automated software, scrapers, crawlers, harvesting tools, spiders, or scripts to access, scrape, extract, or monitor any page, database, or element of the Platform.

  2. System Attacks and Code Injections: Introducing viruses, worms, Trojan horses, spyware, denial-of-service (DoS/DDoS) payloads, backdoors, packet tampering, or malicious code designed to disrupt, degrade, or overload StudyAsan’s infrastructure.

  3. Reverse Engineering: Decompiling, reverse engineering, disassembling, or decrypting any source code, database architecture, or proprietary algorithms powering the Platform or ACMS.

  4. Framing & Impersonation: Framing, mirroring, or creating unauthorized interfaces resembling StudyAsan, or utilizing company logos, meta tags, hidden code, or trademark derivatives to mislead consumers.

  5. Vulnerability Exploitation: Probing, scanning, or stress-testing vulnerabilities on any Company server, network, cloud instance, or authentication barrier without explicit prior written authorization.

 

13. Third-Party Integrations and Hyperlinks

​

  1. Third-Party Services: The Platform integrates third-party tools, including cloud infrastructure, payment processors, media players, and communication APIs. These integrations are governed by their respective terms and privacy frameworks.

  2. No Warranty on External Services: The Company does not guarantee the continuous availability, accuracy, or uninterrupted operation of third-party platforms and assumes no liability for downtime, financial transmission failures, or defects originating from these external providers.

  3. External Links: Links to external websites do not imply Company endorsement of their operations, content, or data-handling policies.

 

14. Disclaimers of Warranties

​

  1. “As-Is” Provision: The Platform, ACMS, Courses, and all related services are provided strictly on an “As-Is” and “As-Available” basis without warranties of any kind, whether express, statutory, or implied.

  2. No Pedagogical or Grade Guarantee: The Company does not guarantee specific academic marks, exam scores, institutional admissions, or performance milestones through platform use. Educational outcomes depend on individual student dedication, practice, and personal aptitude.

  3. Interruption & Security Disclaimer: The Company does not warrant that access to virtual classrooms or ACMS services will be continuous, error-free, immune to latency, or entirely protected against unauthorized external cyber intrusions.

 

15. Limitation of Liability

​

  1. Exclusion of Consequential Damages: To the maximum extent permitted by applicable Indian law, under no circumstances shall StudyAsan, KD Enterprises, Merox Alpha, their directors, founders, employees, partners, or agents be liable for any indirect, special, incidental, consequential, punitive, or exemplary damages, including loss of profits, loss of data, loss of business goodwill, hardware failures, computer downtime, or personal distress, arising from or related to the use or inability to use the Platform.

  2. Aggregate Financial Liability Cap: The Company’s total aggregate liability for all claims, disputes, or legal actions arising under contract, tort, negligence, or statutory obligation shall be strictly capped at the total amount actually paid by the User to the Company for the specific Course giving rise to the claim during the three (3) months immediately preceding the event that caused the liability.

 

16. Indemnification

​

You agree to release, indemnify, defend, and hold harmless StudyAsan, KD Enterprises, Merox Alpha, and their respective proprietors, officers, employees, trainers, representatives, and digital partners against any claims, losses, liabilities, fines, judgments, damages, costs, and legal expenses (including reasonable advocate fees) arising from:

  1. Your violation or breach of any provision within these Terms

  2. Your infringement of any third-party rights, including copyright, trademark, privacy, or moral rights

  3. Any harmful, unlawful, or disruptive User Content uploaded by you or under your account

  4. Inappropriate or abusive conduct toward educators, staff, or fellow students.

 

17. Suspension, Account Termination, and Survival

​

  1. Termination for Cause: The Company may immediately, without notice, terminate or suspend your account, access to the ACMS, and enrolment in active Courses if:

    • You commit a material breach of these Terms, student conduct rules, or child safety policies

    • You provide false, misleading, or fraudulent identity information during registration

    • You engage in abusive, harassing, or threatening interactions with any educator, student, or staff member

    • You attempt to reverse-engineer, scrape, copy, or redistribute StudyAsan intellectual property.

  2. Consequences of Termination: Upon termination, all platform licenses granted to you immediately cease, your access to active courses will be revoked without compensation, and you are barred from creating alternative accounts.

  3. Surviving Provisions: Sections 4, 6, 8, 10, 11, 14, 15, 16, 18, and 19 will survive the expiration or termination of this Agreement.

 

18. Governing Law, Jurisdiction, and Dispute Resolution

​

  1. Governing Law: This Agreement, along with all associated platform guidelines and policies, shall be governed by, interpreted, and construed in accordance with the substantive laws of the Republic of India.

  2. Exclusive Judicial Jurisdiction: Subject to the arbitration agreement below, the competent civil courts situated in Nainital / Haldwani, Uttarakhand, India, shall possess exclusive jurisdiction to adjudicate any legal suits, actions, or proceedings arising out of or related to this Agreement or platform use.

  3. Grievance Resolution First: In the event of any operational grievance or dispute, the User agrees to first submit a detailed written statement to info@studyasan.com to explore an amicable internal resolution before initiating legal action.

  4. Arbitration Agreement:

    • Any unresolved dispute, difference, or claim arising out of or in connection with these Terms, including questions regarding its existence, validity, interpretation, breach, or termination, shall be referred to and conclusively resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, as amended.

    • The arbitral tribunal shall consist of a Sole Arbitrator mutually nominated and appointed by the Company.

    • The seat and legal venue of arbitration shall be Uttarakhand, India.

    • The arbitral proceedings shall be conducted exclusively in the English language.

    • The arbitral award shall be final, conclusive, and binding on both parties. The costs of the arbitration proceedings shall be borne as directed by the learned sole arbitrator.

 

19. Miscellaneous Legal Provisions

​

  1. Entire Agreement: These Terms, together with the Privacy Policy and any course-specific schedules published on the Platform, constitute the entire, integrated understanding between you and the Company, superseding all prior oral or written representations, agreements, or drafts.

  2. Severability: If any provision of these Terms is deemed unlawful, void, or unenforceable by an arbitrator or court of competent jurisdiction, that specific provision shall be severed to the minimum extent necessary, and all remaining provisions shall continue in full legal force and effect.

  3. No Waiver: The Company's failure or delay in exercising or enforcing any right or remedy under these Terms shall not operate as a waiver of that right or any subsequent right.

 

  1. Assignment: You may not transfer, assign, or delegate your rights or obligations under these Terms to any other party. The Company reserves the unrestricted right to assign, delegate, transfer, or novate its rights and obligations under this Agreement to any corporate affiliate, operational partner, or corporate successor in interest.

  2. Force Majeure: The Company shall not be liable for any default, failure, or delay in performing its platform obligations resulting directly or indirectly from acts of God, extreme weather events, earthquakes, structural fires, civil unrest, labour disputes, localized power outages, telecommunications grid failures, internet routing breakdowns, epidemics, government orders, or national emergencies.
